Global trade association seeks valuation with regard to first strategic acquisition

Client need

Our client (Company) is a global, not-for-profit trade association serving the retail industry with a focus on organizing industry conferences and publishing trade magazines for its more than 60,000 members. As its industry began to experience rapid changes, the Company became interested in acquiring the assets of a smaller for-profit specialty publication group, which had a similar focus on trade shows, conferences, training programs and magazine publishing.

The strategic acquisition represented the Company’s first transaction and would be the first new offering to the trade association’s membership group in several years. The Company sought a valuation advisor with relevant and extensive transactional and valuation experience within the retail industry.

Baker Tilly Capital solution*

Baker Tilly Capital was hired as the Company’s financial advisor to provide the Board of Directors with a comprehensive valuation analysis in connection with the pending transaction. Working with the management team, our team of corporate finance specialists provided analysis of key valuation drivers, while also providing assistance with financial modeling and structuring the transaction.

Results

As a result of our team’s valuation efforts, the Company successfully received approval from the Board of Directors in order to quickly and efficiently close the strategic acquisition with the specialty publication group. More importantly, the acquisition was completed in time for the Company to present its new offering for its 60,000+ members at one of the industry’s largest trade conferences.
